1. Introduction

These terms and conditions ("Terms") govern your participation in the OD's Jewellers Affiliate Programme ("the Programme"). By registering for the Programme, you ("the Affiliate") agree to be bound by these Terms in full.

OD's Jewellers is operated by Christopher O'Dea ("we", "us", "our") from 41 Barrow Street, St Helens, WA10 1RY, United Kingdom.

The Programme is managed through the UpPromote platform. These Terms supplement any terms imposed by UpPromote and, in the event of conflict, these Terms take precedence.

2. Eligibility and Registration

2.1. You must be at least 18 years old to join the Programme.

2.2. You must provide accurate, complete, and current information during registration.

2.3. We review every application manually. Approval is at our sole discretion and we are not required to give reasons for declining an application.

2.4. One account per person. You may not register multiple accounts.

2.5. You must have an active online presence (blog, social media account, website, YouTube channel, or similar) with original content relevant to jewellery, watches, fashion, gifting, or lifestyle.

3. Commission Structure

3.1. Standard commission rate: 10% of the net sale value (after any discounts, before delivery charges).

3.2. Commission is calculated on the final paid amount, excluding VAT, delivery charges, gift wrapping, and any other ancillary fees.

3.3. Validation window: Each sale enters a 30-day validation period from the date of purchase. During this window, the order must not be cancelled, returned, or subject to a chargeback.

3.4. Commission on returned, cancelled, or refunded orders (whether full or partial) will be reversed or adjusted proportionally. If commission has already been paid on an order that is subsequently returned, the adjustment will be deducted from your next payout.

3.5. We reserve the right to modify commission rates with 14 days' written notice via email.

3.6. Enhanced commission rates may be offered on a case-by-case basis for specific campaigns, product launches, or high-performing affiliates. Any enhanced rate will be confirmed in writing and will state the applicable period.

4. Payment Terms

4.1. Payment method: PayPal. You must provide a valid PayPal email address.

4.2. Minimum payout threshold: GBP 25.00. If your validated commission balance is below this threshold at the end of a payment cycle, the balance carries forward to the next cycle.

4.3. Payment schedule: Monthly. Validated commissions are paid on or around the 15th of the month following the end of the validation window.

4.4. You are solely responsible for any taxes, national insurance, or other charges arising from commission payments. We do not deduct tax at source. If you are VAT-registered, it is your responsibility to account for VAT on your commission income where applicable.

4.5. If your PayPal address is incorrect or your account is unable to receive payment, we will make reasonable efforts to contact you. Unclaimed commission balances will be held for 12 months, after which they may be forfeited.

5. Tracking, Cookies, and Attribution

5.1. Cookie duration: 30 days. When a user clicks your affiliate link, a tracking cookie is placed on their device for 30 days. If they make a purchase within that window, the sale is attributed to you.

5.2. Last-click attribution: If multiple affiliates refer the same customer, the commission is awarded to the affiliate whose link was clicked most recently before the purchase.

5.3. Coupon code tracking: Where a unique discount code has been assigned to you, sales using that code will also be attributed to you, regardless of whether your affiliate link was used.

5.4. You must not interfere with, manipulate, or attempt to override tracking cookies or attribution in any way.

5.5. We are not responsible for tracking failures caused by the customer's browser settings, ad blockers, VPNs, device changes, or other factors outside our control.

6. Advertising Standards and Disclosure Requirements

This section is a legal requirement under UK law. Please read it carefully.

6.1. All affiliate content must comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (the "CAP Code") administered by the Advertising Standards Authority (ASA).

6.2. Mandatory disclosure: Every piece of content that includes an affiliate link, discount code, or any other commercial incentive must be clearly and prominently disclosed as advertising.

6.3. How to disclose:

  • On social media posts: Include #ad at the beginning of the caption (not buried among other hashtags).
  • On Instagram Stories/Reels: Use the platform's "Paid partnership" label AND include #ad in visible text.
  • On TikTok: Use the platform's branded content toggle AND include #ad in the caption.
  • On YouTube: Enable the "includes paid promotion" disclosure AND state the affiliate relationship verbally or in the description.
  • On blog posts/websites: Include a clear statement at the top of the content, such as: "This post contains affiliate links. If you purchase through these links, I may earn a commission at no extra cost to you."

6.4. #affiliate is also acceptable, but #ad is preferred by the ASA as the clearest disclosure.

6.5. Using vague terms such as "#sp", "#collab", "#gifted" (where an affiliate link is also present), "#ambassador", or similar is NOT sufficient disclosure.

6.6. If you have received a free or gifted product, this must be disclosed separately (e.g., "#gifted #ad" or "This product was gifted to me, and this post also contains affiliate links").

6.7. Failure to comply with ASA disclosure requirements may result in immediate suspension or termination from the Programme. We may also be required to report persistent non-compliance to the ASA.

6.8. You must not make any claims about our products that are misleading, unsubstantiated, or exaggerated. All product claims must be accurate and verifiable.

7. Prohibited Activities

The following activities are strictly prohibited. Breach of any of these will result in immediate termination and forfeiture of any unpaid commission.

7.1. PPC bidding on brand terms: You may not bid on "OD's Jewellers", "ODs Jewellers", "odsjewellers", "odsjewellers.com", or any variation of our brand name (including misspellings) in paid search advertising (Google Ads, Bing Ads, or any other PPC platform). You may not bid on any brand names we stock (e.g., "Vivienne Westwood", "Swarovski", "Tissot") in combination with our store name.

7.2. Coupon/voucher leak sites: You may not distribute your affiliate link or discount code on coupon aggregation sites, voucher code directories, browser extension deal finders, cashback sites, or similar platforms without our prior written consent.

7.3. Spam: You may not promote your affiliate link via unsolicited emails, SMS messages, direct messages, or any form of spam.

7.4. Cookie stuffing or forced clicks: You may not use any technique that sets affiliate cookies without genuine user intent, including pop-unders, auto-redirects, hidden iframes, or similar.

7.5. Misleading claims: You may not misrepresent the price, availability, warranty, or nature of any product. You may not create fake urgency (e.g., "only 2 left" when this is not verifiable).

7.6. Trademark infringement: You may not register domain names, social media handles, or advertising accounts that include "OD's Jewellers", "ODs", or any confusingly similar variation.

7.7. Self-referral: You may not use your own affiliate link or discount code to purchase products for yourself, your family members, or your household. Self-referred orders will not earn commission and may result in termination.

7.8. Incentivised clicks: You may not offer any incentive (monetary or otherwise) for users to click your affiliate link, other than the discount code provided to you by us.

7.9. Adult, hateful, or illegal content: You may not promote our products alongside content that is pornographic, hateful, discriminatory, violent, or promotes illegal activity.

8. Brand Usage and Intellectual Property

8.1. We grant you a limited, non-exclusive, revocable licence to use the OD's Jewellers name, logo, and product images solely for the purpose of promoting products through the Programme.

8.2. You must use official product images and descriptions. Do not alter product images in a way that misrepresents the product (e.g., changing colours, removing watermarks, or compositing products into misleading contexts).

8.3. You must not imply any formal employment, partnership, or ownership relationship with OD's Jewellers beyond your role as an affiliate.

8.4. You must not create content that could reasonably be mistaken for official OD's Jewellers communications, including fake sale announcements, fake giveaways, or fake customer service accounts.

8.5. All intellectual property in our brand name, logos, product images, website content, and marketing materials remains our property. Your licence to use these materials terminates immediately upon your exit from the Programme.

8.6. Any content you create (reviews, videos, blog posts, social media content) remains your intellectual property. However, you grant us a non-exclusive, royalty-free licence to share, repost, or reference your content for our own marketing purposes, with credit to you.

9. Termination

9.1. By either party: Either party may terminate the affiliate relationship by giving 14 days' written notice via email.

9.2. Immediate termination by us: We may terminate your participation immediately and without notice if you:

  • Breach any of the prohibited activities listed in Section 7
  • Fail to comply with ASA disclosure requirements after being notified
  • Engage in fraudulent activity
  • Bring OD's Jewellers into disrepute
  • Provide false information during registration

9.3. Effect of termination:

  • Your affiliate links and discount codes will be deactivated.
  • Any validated, unpaid commission above the minimum threshold will be paid within 30 days of termination.
  • Any unvalidated commission (within the 30-day validation window) will be assessed and paid if validated, or forfeited if the underlying orders are returned or cancelled.
  • Commission earned through prohibited activities will be forfeited in full.
  • You must remove all OD's Jewellers branding, logos, and product images from your platforms within 14 days of termination.

9.4. Programme suspension or closure: We reserve the right to suspend or close the Programme entirely at any time. In such cases, we will honour all validated commissions earned before the closure date.

10. Data Protection and Privacy

10.1. We process your personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

10.2. Data we collect: Name, email address, social media handles/URLs, PayPal email address, commission and sales data.

10.3. Purpose: To administer the Programme, track sales, calculate and pay commissions, and communicate with you about the Programme.

10.4. Legal basis: Performance of a contract (these Terms) and our legitimate interest in operating the Programme.

10.5. Data sharing: Your data may be shared with UpPromote (our affiliate platform provider) for the purpose of tracking and managing the Programme. We will not sell your data to third parties.

10.6. Retention: We retain your data for the duration of your participation in the Programme and for 6 years after termination (to comply with UK tax record-keeping requirements).

10.7. Your rights: You have the right to access, correct, delete, or port your data, and to object to or restrict processing. To exercise these rights, email sales@odsjewellers.com.

10.8. You must not collect, store, or process personal data of customers who purchase through your affiliate links. Customer data belongs to OD's Jewellers and is subject to our Privacy Policy.

11. Liability and Indemnity

11.1. We are not liable for any loss of commission caused by tracking failures, technical issues, platform outages, or circumstances beyond our reasonable control.

11.2. Our total liability to you under these Terms is limited to the amount of unpaid, validated commission owed to you at the time a claim arises.

11.3. We are not liable for any indirect, consequential, or incidental losses arising from your participation in the Programme.

11.4. You agree to indemnify and hold harmless OD's Jewellers, its owner, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your content or promotional activities
  • Your failure to comply with ASA, CAP Code, or other applicable laws and regulations
  • Any third-party claim relating to your participation in the Programme

12. Modifications

12.1. We may update these Terms at any time. Material changes will be communicated to you via the email address registered to your affiliate account, with at least 14 days' notice before the changes take effect.

12.2. Your continued participation in the Programme after the effective date of any changes constitutes acceptance of the updated Terms.

12.3. If you do not agree with any changes, you may terminate your participation by giving notice under Section 9.1.

13. General Provisions

13.1. Governing law: These Terms are governed by the laws of England and Wales.

13.2. Jurisdiction: Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3. Entire agreement: These Terms, together with any supplementary terms agreed in writing, constitute the entire agreement between you and OD's Jewellers in relation to the Programme.

13.4. Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.5. Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

13.6. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor or acquirer of the business.

13.7. No partnership or agency: Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and OD's Jewellers. You are an independent contractor.

13.8. Notices: All notices under these Terms must be sent by email. Notices to us should be sent to sales@odsjewellers.com. Notices to you will be sent to the email address registered to your affiliate account.
